Anthropic's governance structure keeps shareholders from controlling its board
As Anthropic nears a potential IPO, its corporate structure gives public stock buyers minimal influence over company decisions. The company operates as a public benefit corporation and has created a Long Term Benefit Trust that controls the election and removal of a majority of board seats, known as Class T directors. Current board members include Daniela and Dario Amodei, Reed Hastings, Christopher Liddell, Vas Narasimhan, and Yasmin Razavi, while the trust is chaired by Neil Shah and includes Ben Bernanke, Richard Fontaine, and Christopher Stubbs.
